Terms of Service

These Terms of Service (the "Terms") govern access to and use of the logistics management platform (the "Service") operated by the Service provider ("we", "us"). By creating an account, the organization administrator represents that they are authorized to bind their company and accepts these Terms on its behalf.

If you do not agree with these Terms, do not create an account or use the Service.

1. The Service

The Service is a web-based (SaaS) platform for freight forwarding and logistics operations: cargo receiving, shipment management, invoicing, customer portal, and operational reporting.

The Service is provided "as is" and "as available". We may improve, modify, or discontinue features; changes that materially reduce contracted functionality will be communicated with reasonable advance notice.

2. Accounts and access

Each organization (tenant) designates at least one administrator responsible for managing users, roles, and permissions within its account. You are responsible for safeguarding credentials and for all activity under your account.

You must provide accurate information and keep it up to date. We may reject or terminate accounts created with false information or in breach of these Terms.

3. Data and multi-tenant isolation

The Service is multi-tenant: each organization's data is logically isolated and accessible only to that organization's authorized users, according to the platform's access controls.

Your organization retains ownership of its data. You grant us a limited license to host, process, and back it up solely to provide the Service.

You are responsible for the lawfulness of the data you upload (including data about your customers, consignees, and agents) and for having the legal bases required to process it.

4. Plans and limits

The Service is offered under different plans (for example: free trial, paid plans, and enterprise plans), each with usage limits such as number of users, monthly operation volume, and storage. Current limits are shown in the platform or in your agreement.

When a limit is reached, certain operations may be blocked until you upgrade your plan or a new billing cycle begins. Features reserved for higher tiers (for example, custom domains) require the corresponding plan.

5. Billing

Paid plans are billed in advance according to the contracted cycle. Applicable prices and terms are those published or agreed with your organization at the time of purchase.

Unless stated otherwise, subscriptions renew automatically. Charges are non-refundable except where required by applicable law. Non-payment may result in account suspension as described in Section 6.

6. Service suspension

We may suspend access for non-payment, breach of these Terms, security risk, or legal requirement.

During suspension, the account operates in read-only mode: you may view and export your data, but you may not create or modify records. We will restore access once the cause of the suspension is resolved.

7. Termination and data export

You may cancel your account at any time from the settings or by contacting us. We may terminate an account for an uncured material breach.

Before or within a reasonable period after termination, you may request an export of your data in a standard format. After that period, we may permanently delete the account data, subject to backup copies that are purged in the ordinary cycle.

8. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, loss of data, or business interruption.

Our total aggregate liability for any claim related to the Service will not exceed the amounts paid by your organization in the twelve (12) months preceding the event giving rise to the claim.

The Service is a management tool; your company's logistics, customs, and tax operations — and compliance with the regulations that apply to them — are solely your organization's responsibility.

9. Governing law and jurisdiction

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules.

Any dispute arising out of these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, and the parties waive any objection based on inconvenient forum.

10. Changes to these Terms

We may update these Terms. The current version will be posted on this page with its update date and, for material changes, we will provide notice by reasonable means (for example, within the Service or by email).

Continued use of the Service after the changes take effect constitutes acceptance of the new Terms.
